Terms of Use DocToRead Portal

USE OF THE BROWSER-BASED DocToRead PORTAL IS SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS OF USE. PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING THE DocToRead PORTAL.

These Terms of Use govern your access to and use of the browser-based ‘DocToRead PORTAL’ offered by DocToRead GmbH (‘us’, ‘we’ or ‘DocToRead’) and all related services (collectively, the “Services”). These Terms of Use also govern your access to all information about the Services (the ‘Content’).

A. GENERAL INFORMATION

DocToRead provides a browser-based portal through which doctors can upload data from their medical findings to the portal. In the portal, the medical findings data is translated in real time into language that is generally understandable to the patient. The portal processes the medical findings data and simplifies the medical language entered into a language that is generally understandable so that the patient understands the content of the medical findings. DocToRead itself expressly does not provide any medical services, does not make any diagnoses and does not submit any therapy suggestions. The portal simply provides a summary in plain language based on the medical findings. Therefore, DocToRead does not require any personal data to provide the service.

Before making the findings data available on the portal, please ensure that you anonymise all personal data that could be used to identify a person (e.g. the patient or doctor) or the issuing institution. This includes data such as the name, address and other details of a doctor, patient or institution that issued the findings, as well as other personal data such as date of birth, postal address, telephone number, health insurance details, etc. Ensure that only the medical content of the findings is uploaded to the portal. If the patient’s medical data allows conclusions to be drawn about the patient’s identity, please also anonymise this data or remove any personal references.

If you are uploading the findings as a photo, take a photo of the findings without the letterhead and signature, for example, and without any other areas containing the above-mentioned personal data. If you are scanning the findings as a file, you can do the same or anonymise the PDF afterwards in the areas where the patient’s or doctor’s personal data is displayed.

B. USAGE AGREEMENT

These Terms of Use constitute a legal agreement between you and DocToRead GmbH. By using the services of the DocToRead portal, (a) you agree to these Terms of Use, (b) you warrant that you have the right, authority and capacity to enter into these Terms of Use, and (c) you are the user of, or control, the device with which you access the services. These Terms of Use also apply to all portal updates, additions and services provided by DocToRead GmbH that are not provided under a separate licence or other agreement with us. If you do not agree to these Terms of Use, you may not use the DocToRead portal. We may change these Terms of Use from time to time and will notify you of any updates to the Terms of Use that have a material impact on your use of the Services or your rights and obligations. Such notification may be provided through a portal notification or a notice on the website. Your continued use of the Services after the publication of changes to these Terms of Use means that you accept these changes. If you do not agree with a change, you must stop using the DocToRead portal. If you have any questions or concerns regarding these Terms of Use, please contact support at info@DocToRead.com. Do not use the Services until your questions and concerns have been answered to your satisfaction and you agree to these Terms of Use.

Note to doctors: Depending on the laws of the country in which you live, you may have certain rights that apply in addition to these Terms of Use, and certain provisions of these Terms of Use may not be enforceable against you. To the extent that any provision of these Terms of Use is unenforceable against you, the remainder of these Terms of Use shall remain in full force and effect. These Terms of Use also include any additional payment terms and other requirements specified in the portal.

Use of the DocToRead portal and responsibility

Use of our browser-based portal is reserved exclusively for licensed physicians. Access to and use of the portal requires prior registration and login. By registering and using the portal, you confirm that you are a licensed physician and will use our portal exclusively for professional purposes. We reserve the right to request appropriate proof and to block access in the event of unauthorised use.

Doctors may appoint medical assistants (MFA) from their practice to use the portal as vicarious agents. The prerequisite is that
the MFA has received documented instruction from you on how to use the portal, in particular on how to redact all personal and medical data in the findings.

As a doctor, you bear overall responsibility for all actions of your MFA on the portal and ensure that the MFA only performs activities in accordance with their qualifications. MFAs always act on behalf of and under the supervision of the delegating doctor. Independent use of the portal by MFAs is not permitted.

C. GRANTING OF THE LICENCE

Provided that you comply with these Terms of Use, DocToRead GmbH grants you a limited, non-exclusive, revocable, non-sublicensable and non-transferable licence to access the latest generally available version of the DocToRead portal, which is made available to you as part of the Services, solely for your lawful use.

D. DESCRIPTION OF OTHER RIGHTS AND RESTRICTIONS

Restricted use

You are not permitted to rent, sell, lease, sublicense, distribute, assign, copy or in any way transfer or grant rights to the services or use the services for the benefit of third parties. Unless expressly authorised by DocToRead GmbH, you are prohibited from making the DocToRead portal available via a network where it could be used by multiple users. You agree that you will not use robots, spiders, other automatic or manual devices or processes to interfere with the proper functioning of the DocToRead portal. You may not violate or attempt to violate the security of our DocToRead portal. You may not modify, reverse engineer, decompile, disassemble or otherwise manipulate the DocToRead portal or attempt to do so for any reason or by any means. You may not access, create or modify the source code of the DocToRead portal in any way. You do not have the right to and may not create derivative works of the DocToRead portal or parts thereof. All changes or enhancements to the services remain the sole property of DocToRead GmbH.

Updates

We reserve the right to add or remove features or functions to the existing DocToRead portal. When you use the DocToRead portal on your device, you communicate with our servers at regular intervals. You understand that we may require you to review and accept our then-current Terms of Use before you are permitted to use updated versions of the DocToRead portal. You acknowledge and agree that our obligation to support previous versions of the DocToRead portal may end with the availability of updates, additions or subsequent versions. You acknowledge and agree that we are not obligated to provide you with updates, additions or updated versions of the DocToRead portal.

Access

You must provide the equipment, internet connections, devices and service plans at your own expense in order to access and use the DocToRead Portal. If you access the DocToRead Portal via a mobile network, the messaging, data and other tariffs and fees of your network or roaming provider may apply. You are solely responsible for all costs incurred by accessing the DocToRead Portal via your device. Use of the DocToRead Portal may be prohibited or restricted by your network operator, and/or the DocToRead Portal may not work with your network operator or device. DocToRead GmbH makes no representation that the DocToRead Portal can be used on all devices, browsers or mobile phone plans. DocToRead GmbH makes no representation that the DocToRead Portal is available in all languages or that the DocToRead Portal is suitable or available for use in a particular location.

E. CONTENT ON THE SERVICES

User content

We may access, retain or disclose your information or content if we are required to do so by law or if we believe in good faith that it is reasonably necessary to (i) respond to claims made against us or to comply with legal proceedings (e.g. subpoenas or warrants), including those issued by courts with jurisdiction over us or you; (ii) to enforce or administer our agreements with users, such as these Terms; (iii) for fraud prevention, risk assessment, investigation, customer service, provision of DocToRead Portal services or technical support; (iv) to protect the rights, property or safety of DocToRead GmbH, its users or members of the public; or (v) to report a crime or other offensive behaviour.

F. SAFETY

Like other consumer technologies, the DocToRead portal may not be 100% secure. By accepting these Terms of Use, you acknowledge and agree that the DocToRead Portal may be subject to unauthorised access, interception, corruption, damage or misuse and cannot be considered 100% secure. You assume all responsibility for such security risks and any resulting damage. Furthermore, you are solely responsible for protecting any device used to access the DocToRead Portal from unauthorised access, e.g. by using complex password protection and activating device encryption, if available in your device settings. You agree that DocToRead GmbH is not liable for any unauthorised access to your account or devices.

G. REGISTRATION/PASSWORDS

Registration

Please note that the DocToRead portal requires registration and the creation of an account in order to access the DocToRead portal and additional features or functions (‘Registration’).

Password

You are the sole and exclusive custodian of the password you have chosen. Maintaining the confidentiality and security of your password is your sole responsibility. You bear full responsibility for all transactions made through an account that is opened, managed, accessed or used with your password.

In particular, you are obliged to immediately block any MFA access to your account as soon as the cooperation with the MFA ends and to regularly check the activity profiles of your MFA in our portal.

You are obliged to notify us immediately and confirm in writing any unauthorised use of accounts or any breach of security, including, without limitation, any loss, theft or unauthorised use of your password or any associated account. If we reasonably suspect that the security of your password has been compromised, we may suspend or terminate your account, refuse any and all current or future use of the Services, and pursue all appropriate legal remedies. We are not responsible for any losses related to the misuse of a password.

Information provided

When providing information in connection with registration, you must provide and maintain accurate, correct, complete and up-to-date information. In particular, you must be a licensed physician to use our portal. If we have reasonable grounds to suspect that your information is inaccurate, out of date, incorrect or incomplete, we are entitled to suspend or terminate your use of the DocToRead portal and to take all appropriate legal action. We also reserve the right to deactivate all access, including MFA access, without prior notice if there is concrete evidence of misuse. You agree that we have the right to use the information you provide for the purposes described in these Terms of Use and to promote your use of the DocToRead Portal in accordance with the Privacy Policy.

H. AGREEMENT TO USE USER REVIEWS

If you decide to submit portal store reviews or reviews via social media channels or other similar communication or messaging features or services, this information may also be made publicly available, including the publicly available username that appears in the review. If you prefer that we do not use your portal reviews for promotional purposes, you can contact us at the support email address info@DocToRead.com below (please include your name and email address). For security reasons, you should not provide any confidential information via these features. We are entitled, but not obliged, to remove content that we deem inappropriate.

I. INTELLECTUAL PROPERTY

The DocToRead portal, including all content, designs, text, images, photographs, illustrations, audio clips, video clips, graphics, codes, content, protocols, software and documentation provided to you by DocToRead GmbH, are the property of DocToRead GmbH or the property of DocToRead GmbH’s licensors and are protected by German and European, international copyrights, trademarks, patents and other proprietary rights and laws relating to intellectual property rights. ‘Intellectual property rights’ means, in total, rights under patent, trademark, copyright and trade secret laws, as well as all other intellectual property rights or proprietary rights recognised in any country or jurisdiction worldwide, including, without limitation, moral or similar rights. You may not delete, alter or remove any copyright, trademark or other proprietary rights notices placed on or in the Services by us or third-party partners. All rights not expressly granted herein are expressly reserved by DocToRead GmbH and its licensors.

DocToRead GmbH and all names, logos and associated properties are the exclusive property of DocToRead GmbH. All other trademarks appearing in the services, including a portal, are trademarks of their respective owners, and the use of such trademarks benefits the owner of the trademark. Our partners or service providers may also have additional proprietary rights in the content they make available through a service. The trade names, trademarks and service marks belonging to us, whether registered or unregistered, may not be used in connection with any product or service not originating from us in a manner that could cause confusion. Nothing contained herein shall be construed as granting, by implication, estoppel or otherwise, any licence or right to use our trade names, trademarks or service marks without our express prior written consent.

J. COPYRIGHT

Copyright/Submissions

You are solely responsible for all content that you contribute, submit, display or for any editing of works made on or through your use of the DocToRead portal. You are obliged to ensure that such content, including photos and texts, does not infringe any copyrights or other intellectual property rights. You must either be the owner of the content or have a licence to use it. DocToRead Ltd. respects and expects its users to respect the rights of copyright holders. DocToRead Ltd. will take appropriate action upon notification to remove content that infringes the copyrights of others. DocToRead GmbH reserves the right to block access to the portal or other services for anyone who uses them to repeatedly infringe the intellectual property rights of others. K. TERMINATION

Your rights under these Terms of Use shall terminate immediately and automatically, without notice from DocToRead GmbH, if you fail to comply with any of the terms and conditions of these Terms of Use. You understand that DocToRead GmbH may, at its sole discretion, modify, discontinue or suspend your right to access the DocToRead Portal at any time.

Furthermore, DocToRead GmbH may suspend or terminate the licence contained herein at any time, with or without cause, and deactivate the DocToRead portal or components of the DocToRead portal. You agree that DocToRead GmbH shall not be liable to you or any third party for any termination or deactivation of the services. Immediately upon expiration or termination of these Terms of Use, you must cease all use of the Services and destroy all copies of the Services, including all DocToRead Portals, in your possession or control. Termination shall not limit any other rights or remedies of DocToRead GmbH under law or equity. Sections H – Q and all supplementary terms of use of these Terms of Use shall survive the termination or expiry of these Terms of Use for any reason.

L. DISCLAIMER

To the extent permitted by law, the DocToRead portal is provided without warranty of any kind. Use of the portal is at your own risk. DocToRead GmbH does not guarantee that the DocToRead portal will meet your needs and requirements, that the DocToRead portal will be uninterrupted, timely, secure or error-free, or that the results produced by using the DocToRead GmbH DocToRead portal will be accurate or reliable. DocToRead GmbH assumes no liability or responsibility for property damage of any kind resulting from access to or use of the DocToRead portal or from unauthorised access to or use of the servers of DocToRead GmbH.

DocToRead is also not liable for incorrect data processing by your MFA, for violations of your delegation guidelines by the MFA (e.g. exceeding the scope of duties) and for violations of documentation obligations by you or your MFA. You indemnify us against all claims resulting from actions of your MFA on the portal.

Furthermore, DocToRead GmbH accepts no liability for stored personal or financial information, for any interruptions or terminations of transmission to or from the servers of DocToRead GmbH; bugs, viruses, Trojan horses or similar items transmitted by third parties to or through the DocToRead portal, or any errors or omissions in content, or for any loss or damage of any kind arising from the use of content published, emailed, transmitted or otherwise made available via the DocToRead portal.

M. COMPENSATION

You agree to indemnify, defend and hold harmless DocToRead GmbH employees from any third-party claims, liabilities, damages and/or costs arising from your use of the DocToRead portal, your violation of these Terms of Use, or your infringement or violation of the intellectual property or other rights of any natural person. You agree to notify DocToRead GmbH immediately of any unauthorised use of your account or any other breach of security of your application on the DocToRead portal that you become aware of.

N. EXPORT CONTROLS

The services and the underlying information and technologies are subject to German and international laws, restrictions and regulations that may govern the import, export, downloading and use of the portal. You agree to comply with these laws, restrictions and regulations when using the portal.

O. ADMISSIBILITY IN COURT
DocToRead GmbH does not warrant or guarantee that the DocToRead portal or parts thereof are suitable or available for use in a particular jurisdiction. We may restrict the availability of the portal in whole or in part to any person, geographical area or jurisdiction of our choice at any time and at our sole discretion.

P. DISPUTE RESOLUTION AND OTHER MISCELLANEOUS TERMS

You agree to use your best efforts to resolve any disputes, claims, questions or disagreements directly by contacting DocToRead GmbH customer support at the email address provided in these Terms of Use before initiating any legal proceedings or arbitration. All disputes or claims arising out of or in connection with these Terms of Use, including disputes regarding their validity, breach, termination or invalidity, shall be decided by a German court. The place of jurisdiction is Meinerzhagen. All matters arising from these Terms of Use and the use (or inability to use) of the DocToRead portal shall be governed by German law, excluding international conflict of law provisions.

Q. REVOCATION

This portal is reserved exclusively for licensed physicians for professional use. By registering, you confirm that you will use the portal in the course of your medical practice. There is no right of withdrawal pursuant to Section 355 of the German Civil Code (BGB), as contracts between entrepreneurs (Section 14 BGB) and providers are not subject to statutory withdrawal regulations.
